What Is SEC Form 5?

SEC Form 5 is an ownership report filed by corporate officers, directors, and certain beneficial owners who hold more than 10% of a registered class of a company’s equity securities. It is used to disclose changes in beneficial ownership that were not previously required to be reported on Form 4, including transactions that qualify for deferred reporting, exempt transactions, and small acquisitions permitted under Section 16 of the Securities Exchange Act of 1934 and related SEC rules.

The form is generally filed after the issuer’s fiscal year ends and functions as a year-end reconciliation of insider transactions and holdings. Insiders may use Form 5 to report transactions that were exempt from Form 4’s two-business-day reporting requirement, as well as any reportable transactions that were inadvertently omitted from prior filings. By consolidating these disclosures annually, Form 5 supports transparency and completeness in insider ownership reporting and operates alongside Forms 3 and 4 within the broader Section 16 reporting framework.

SEC Form 5 Filing Deadlines

SEC Form 5 is generally due after the end of the issuer’s fiscal year and is used to report certain transactions that were eligible for deferred reporting or otherwise not reported on Form 4 during the year. These timing requirements are important to ensure accurate annual disclosure and compliance with insider reporting obligations.

Key Things to Know About Form 5 Filing Rules

• Who Must File: Officers, directors, and certain 10% beneficial owners may need to file Form 5 if they have reportable transactions or holdings eligible for annual reporting under Section 16.
• Form 5 Complements Forms 3 and 4: Form 3 establishes initial insider ownership, Form 4 reports most changes promptly, and Form 5 is used for certain deferred or exempt transactions and year-end catch-up reporting.
• Not Everyone Files Form 5 Each Year: If an insider has no transactions or holdings required to be reported on Form 5 for the fiscal year, a filing may not be required, depending on the circumstances and applicable exemptions.
• Exempt and Deferred Transactions May Be Reported: Certain transactions (such as specific small acquisitions or exempt transactions) may be eligible to be reported on Form 5 instead of Form 4, subject to applicable rules and conditions.
• Amendments May Be Necessary: If reportable transactions were omitted or errors are discovered, insiders may file Form 5/A to correct the disclosure and align the annual reporting record with the Section 16 requirements.
