What Is SEC Form 8-K?

SEC Form 8-K is a current report required under the Securities Exchange Act of 1934 and related SEC rules, including Exchange Act Rules 13a-11 and 15d-11. It is used by registrants to disclose specified material events on an ongoing basis between periodic reports, thereby supporting timely public disclosure of significant corporate developments.

The form is filed when a company experiences a reportable event such as entering into or terminating a material definitive agreement, completing an acquisition or disposition, filing for bankruptcy or receivership, changes in control, departures or appointments of directors or certain officers, amendments to governing documents, unregistered sales of equity securities, or other events covered by Form 8-K item requirements. Most items require disclosure within four business days of the event. It is filed electronically with EDGAR, and companies often refer to the SEC’s summary overview of the Form 8-K current report to understand common event categories and disclosure expectations.
