What Is SEC Form DRS?

SEC Form DRS is an important submission used by eligible issuers to provide the SEC with a draft registration statement for nonpublic review before it is publicly filed. It is submitted through EDGAR under the DRS submission type and is generally used by Emerging Growth Companies and certain Foreign Private Issuers during the early stages of a securities offering.

This form is typically submitted when a company wants to begin the SEC staff review process before making its registration statement public. It allows the issuer to address SEC comments, revise disclosure, and prepare offering materials before the first public filing. • Registration Fee Is Deferred: The Securities Act filing fee is generally due when the registration statement is first filed publicly, not when the DRS is submitted.
