What Is SEC Form DRS/A?

SEC Form DRS/A is an important filing used to amend a draft registration statement previously submitted on EDGAR for nonpublic SEC staff review. It is filed electronically as needed before public filing and is commonly used during IPO and other Securities Act registration processes to update disclosures, respond to staff comments, or revise offering information.

SEC Form DRS/A submission Deadlines

Form DRS/A does not have a fixed submission deadline. These amendments are submitted as needed during the nonpublic review process before a registration statement is publicly filed.

The timing still matters because an issuer conducting an initial public offering or initial registration of a class of securities must publicly file its registration statement, the initial draft registration statement, and all DRS/A amendments at least 15 days before the road show or, if there is no road show, at least 15 days before the effective date. The filing fee is due when the registration statement is first filed publicly on EDGAR, not when the draft or amended draft is submitted.
