What Is SEC Form SF-3MEF?

SEC Form SF-3MEF is a Securities Act filing used for asset-backed securities offerings when a registrant wants to register additional securities for the same offering already covered by an effective Form SF-3 filing. Under Rule 462(b), the filing is designed for the same class of securities and the same offering as the earlier registration statement.

This form is typically filed on an as-needed basis shortly before an offering closes, when the registrant determines that additional securities must be registered beyond the amount included in the earlier effective Form SF-3. Rule 462(b) permits immediate effectiveness on filing if the conditions of the rule are satisfied, including the 20% cap tied to the earlier registration statement’s maximum aggregate offering price for each class of securities.

• A Filing Fee Still Applies: EDGAR guidance states that all Rule 462(b) filings, including SF-3MEF, require a filing fee.
