Federal securities laws mandate that companies going public must disclose specific information through an Initial Public Offering (IPO). Companies intending to go public must submit a registration statement on Form S-1, which includes the prospectus, before they can list their shares on a national exchange. The prospectus provides a detailed overview of the company’s business operations, financial condition, and management. It also includes financial statements that have been audited by an independent registered public accounting firm. The IPO process is subject to strict regulation and compliance standards. The timing for filing Form S-1 varies on a case-by-case basis, depending on factors such as the size of the company, market conditions, and the complexity of the company’s operations. After filing Form S-1, the SEC reviews the document for completeness and accuracy. When the SEC declares the registration statement “effective,” the company can proceed with the IPO. On the returned listing of filings for the company, enter “S-1” in the Filing Type box near the top of the page to filter for only Form S-1 filings.
