What Is SEC Form 3?

SEC Form 3 is an initial filing required under Section 16(a) of the Securities Exchange Act of 1934. It is used by directors, certain officers, and beneficial owners of more than 10% of a registered class of equity securities to report their ownership positions upon first becoming subject to Section 16 Insider Transactions and Trading reporting.
