This form is typically filed when an issuer needs to amend the disclosure contained in an earlier Form 8-K because information was incomplete at the time of the original filing. After all, required financial statements or pro forma information must be furnished by amendment, or because the company needs to correct or replace an exhibit or other reported detail, with amendments often reflected in consolidated tracking views of Form 8-K/A filings.
